1. Agreement to Terms

By downloading, accessing, and using We Developers ("App"), you agree to be bound by these terms and conditions.

2. Use License

Permission is granted to temporarily download one copy of the materials for personal, non-commercial viewing only.

You may not:

• Use the project as a portfolio piece (with your permission)
• Reuse general methodologies, techniques, and non-proprietary code
• Utilize third-party libraries and frameworks under their respective licenses

Client Materials

You retain all rights to materials you provide. By sharing content with us, you grant us a license to use it solely for executing your project.

Confidentiality

We respect the confidentiality of your business information and project details. We will not disclose confidential information to third parties without your consent, except as required by law or to fulfill our service obligations (e.g., hosting providers, subcontractors).

Warranties and Disclaimers

Service Warranty

We warrant that services will be performed professionally and in accordance with industry standards. We will correct any defects in workmanship at no additional cost within the warranty period specified in your agreement (typically 30-90 days post-launch).

Disclaimer of Warranties

Our services are provided "as is" except as explicitly stated in individual agreements. We disclaim all other warranties, including:

• That services will be uninterrupted or error-free
• That third-party integrations will remain compatible indefinitely
• Specific business outcomes or revenue results
• Compatibility with all future technologies or platforms

Limitation of Liability

To the maximum extent permitted by law, We Developers shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim.

Third-Party Services

Our projects may integrate third-party services, APIs, or platforms (e.g., payment processors, hosting providers, cloud services). We are not responsible for the performance, availability, or terms of these third-party services. You are responsible for maintaining accounts and agreements with these providers.

Support and Maintenance

Post-launch support and maintenance services are available separately and are not automatically included unless specified in your agreement. We recommend ongoing maintenance to ensure security updates, bug fixes, and optimal performance.

Termination

By Either Party

Either party may terminate the agreement with written notice. Upon termination, you will be invoiced for work completed up to the termination date. Partially completed work will be delivered in its current state.

By Us

We reserve the right to terminate services immediately if:

• Payment terms are violated
• You breach these Terms of Service
• Your actions threaten our reputation or operations
• Continued cooperation becomes impractical

Indemnification

You agree to indemnify and hold We Developers harmless from any claims, damages, or expenses arising from your use of our services, your breach of these terms, or your violation of any rights of another party, including intellectual property infringement related to materials you provide.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet/network failures.

Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Texas, USA. Any disputes arising from these Terms or our services shall be resolved through good faith negotiation or, if necessary, binding arbitration in Dallas County, Texas.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through prominent notice on our website. Your continued use of our services after changes constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with any proposal, contract, or statement of work you have signed, constitute the entire agreement between you and We Developers regarding our services and supersede all prior agreements and understandings.

3. Disclaimer

You retain ownership of your content. You grant We Developers a license to use it.
